Terms of Service

By downloading, accessing, or using the Zips Cannabis mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms constitute a legally binding agreement between you and Zips Management LLC, doing business as Zips Cannabis ("Zips," "we," "us," or "our").

You must be at least 21 years of age to access or use this App.

You must be physically located within the State of Ohio to access or use this App.

By affirming your age and accessing this App, you represent and warrant that:

• You are at least 21 years of age;
• You are physically located within the State of Ohio at the time of access;
• You are legally permitted to purchase or possess cannabis under applicable Ohio law;
• You will not share, forward, or otherwise transmit any content from this App to any person under 21 years of age.

We reserve the right to terminate your access immediately if we have reason to believe you do not meet these eligibility requirements.

Zips Cannabis is licensed by the Ohio Division of Cannabis Control (DCC), Ohio Department of Commerce, under Ohio Revised Code Chapter 3796. All products sold through our dispensary locations and ordered through this App are regulated by the DCC.

Cannabis products purchased through this App:

• May only be purchased and possessed by persons 21 years of age or older;
• May only be picked up in person at a licensed Zips Cannabis dispensary location — no delivery service is currently available;
• May not be transported outside the State of Ohio;
• Are subject to Ohio state excise tax (adult-use) and applicable local and state sales taxes;
• Are subject to daily purchase limits established under ORC 3796.221, including a maximum of 2.5 ounces of flower and 15,000mg total THC in other products per day.

WARNING: Keep out of reach of children. This product may cause impairment and may be habit-forming. This product may be unlawful outside the state of Ohio. Women who are pregnant or breastfeeding, or plan to be, should consult their physician prior to use.

The App allows you to place advance pickup orders at licensed Zips Cannabis dispensary locations pursuant to OAC 1301:18-8-02. By placing an order, you understand and agree that:

4.1 In-Person ID Verification is Required. No product will be released to you without in-person identity verification by a licensed Zips dispensary employee. Before any order is fulfilled, you must present a valid government-issued photo ID confirming your age and identity. The information on your ID must match the information you provided when placing the order.

4.2 Medical Patients. Registered medical marijuana patients must present both a valid Ohio patient registry identification card and a valid government-issued state photo ID at the time of pickup.

4.3 Orders Are Not Guaranteed. Product availability is subject to change. We reserve the right to cancel or modify any order due to inventory limitations, regulatory requirements, or other operational factors. We will make reasonable efforts to notify you of any cancellations or changes.

4.4 No Transfers. Orders may only be picked up by the person who placed the order. Orders cannot be transferred to or picked up by another person.

4.5 Purchase Limits. The App will enforce applicable daily purchase limits at checkout. It is your responsibility to ensure you have not already purchased the maximum allowable quantity at any Ohio cannabis dispensary on the day of your order.

4.6 All Sales Final. All cannabis product sales are final. No returns or exchanges are accepted after the product has left the dispensary premises, except as required by law.

4.7 No Delivery. Cannabis delivery to consumers is not currently authorized under Ohio law. All orders must be picked up in person at a licensed Zips Cannabis location.

Zips Cannabis operates the following licensed dispensary locations in Ohio:

• Zips Dispensary — Glenway: 6415 Glenway Avenue, Cincinnati, OH 45248
• Zips Dispensary — Columbus: 4066 Morse Road, Columbus, OH 43230

Hours of operation are listed in the App and subject to change. Cannabis sales may only occur at licensed dispensary premises.

By using the App, you agree not to:

• Use the App if you are under 21 years of age;
• Use the App while physically located outside the State of Ohio;
• Use the App to facilitate the purchase, transfer, or distribution of cannabis to any person not legally permitted to possess cannabis under Ohio law;
• Attempt to purchase cannabis for resale or any commercial purpose;
• Provide false, inaccurate, or misleading information including false age declarations;
• Attempt to circumvent purchase limits or other regulatory controls built into the App;
• Use the App to place orders that exceed applicable daily purchase limits;
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the App;
• Use the App for any unlawful purpose or in violation of ORC Chapter 3796 or any applicable Ohio or federal law;
• Transmit any content from the App to individuals under 21 years of age.

If the App requires account registration, you agree to:

• Provide accurate, complete, and current information;
• Maintain the security of your password and account credentials;
• Notify us immediately of any unauthorized use of your account;
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate any account we reasonably believe has been used in violation of these Terms or applicable law.

Product information displayed in the App, including strain names, potency, weight, and pricing, is provided for informational purposes. Product availability and pricing are subject to change without notice.

No statement, description, or content in this App constitutes a health claim, medical advice, or therapeutic recommendation. Cannabis products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Consult a licensed healthcare provider for medical advice.

All product names displayed in this App are registered product names as approved by the DCC. We do not use informal or slang terminology.

Prices displayed in the App are in U.S. dollars and are subject to applicable Ohio excise tax (adult-use only) and state and local sales taxes. Final pricing including all applicable taxes will be displayed at checkout for informational purposes.

Payment for all orders is collected in person at the dispensary at the time of pickup. The App does not process or collect payment information.

All content in the App, including text, graphics, logos, images, and software, is the property of Zips Cannabis or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, modify, or create derivative works from any App content without our express written permission.

The DCC seal displayed in this App is the property of the Ohio Division of Cannabis Control and is used pursuant to regulatory requirements. It does not imply DCC endorsement of any specific product or service.

The App may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

We are not responsible for the conduct of any third-party brand, vendor, or service provider whose products or information may appear in the App.

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any product information, pricing, or inventory data displayed in the App.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZIPS CANNABIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THIRTY (30) DAYS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Zips Cannabis and its officers, directors, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights.

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the App shall be resolved in the state or federal courts located in Hamilton County or Franklin County, Ohio, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, by providing notice through the App. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.
